1. Purpose The purpose of this Agreement is to set forth the terms and conditions under which Referrer will refer potential clients to the Company in exchange for a referral fee.
2. Referral Fee For each Qualified Referral (as defined below) that results in a completed transaction, the Company agrees to pay the Referrer a referral fee of $200. Payment will be made within 3 days of the completion of the transaction.
3. Qualified Referrals A "Qualified Referral" is a new client referred by the Referrer who: Is not already in contact with or in the Company's database. Completes a transaction with the Company within 60 days of the referral. Meets any additional criteria set forth by the Company.
4. Referral Process Referrer shall provide the Company with the contact information of the potential client through email, text, online form etc. The Company will then evaluate the referral and, if the potential client meets the criteria, will proceed with the transaction.
5. Non-Exclusivity This Agreement does not create an exclusive relationship between the parties. The Referrer is free to refer clients to other businesses, and the Company is free to accept referrals from other referrers.
6. Confidentiality Both parties agree to keep confidential any and all information regarding the Company's business practices, clients, and referral details.
7. Independent Contractor The Referrer is an independent contractor and not an employee of the Company. Nothing in this Agreement shall be construed to create a partnership, joint venture, or employer-employee relationship.
8. Term and Termination This Agreement will commence on the date first above written and will continue until terminated by either party with 30 days written notice.
9. Governing Law This Agreement shall be governed by and construed in accordance with the laws of the state of [Your State].
10. Entire Agreement This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements or understandings, whether written or oral, relating to the subject matter herein.
IN WITNESS WHEREOF, the parties have executed this Referral Program Agreement as of the day and year first above written.
